Wildman Harrold’s Corporate Practice provides transactional and corporate counseling to a wide variety of public and private domestic and international businesses. We work with our clients to cost-effectively structure, negotiate, and document an array of sophisticated corporate transactions, including mergers and acquisitions, leveraged buyouts, private equity and venture capital investments and financings, commercial loans, executive compensation arrangements, and strategic alliances. Our interdisciplinary team is experienced in all areas of corporate finance, business counseling, corporate governance, securities, tax, executive compensation, employee benefits, ERISA, employment and labor, technology and intellectual property, and litigation. We advise clients on forming and structuring domestic and international joint ventures, partnerships, limited liability companies and corporations. In the corporate and structured finance arenas, we handle public and private placements of debt and equity, “off balance sheet” lease financings, and capital leases. Corporate Counseling
We counsel companies and boards of directors on all facets of corporate governance, including developing corporate governance guidelines and best practices, advising boards on corporate and securities law obligations, designing and implementing ethics and compliance programs, and handling regulatory and criminal investigations. We counsel proactively to anticipate and avoid potential legal risks or violations that would adversely affect our client's business operations or stockholder value. We draw on the experience and knowledge of our attorneys in other practice areas in order to deliver the high level of client service on which we pride ourselves.
In addition to providing our transactional services to in-house counsel, we routinely act as companies’ outside general counsel. In this role, we work closely with clients to reduce legal exposure, handle legal issues as they arise, structure arrangements among owners, oversee litigation, and devise innovative solutions that balance business considerations with legal risks. Clients we serve in this capacity range from a small public emerging nanotech company to a $3 Billion privately-held agricultural cooperative.
